Steering Committee Bylaws
Status: these bylaws are in draft and are currently before the Steering Committee for ratification. They are published here for transparency and do not yet have effect.
The ICS Steering Committee operates under written bylaws. This page summarises the membership classes and the criteria by which membership rotates, as required of a conference sponsored by ACM SIGARCH and ACM SIGHPC. The full text governs in the event of any difference.
Membership classes
Voting membership does not exceed twenty-five and comprises three classes.
- Class A, service members. Every General Chair and Program Chair of the three most recent completed editions serves ex officio for a term of three years, running from the annual meeting held during the edition chaired.
- Class B, elected members. Nine members-at-large, elected to staggered three-year terms, with three seats filled at each annual meeting.
- Class C, sponsor liaisons. One member designated by the SIGARCH Executive Committee and one by the SIGHPC Executive Committee, serving at the pleasure of the designating committee.
Emeritus members. A member whose term ends and who is not re-seated becomes an Emeritus member. Emeritus members remain on the roster, receive notice of meetings, may attend, and may speak. They do not vote and do not count toward quorum.
Criteria for rotating membership
- Every seat carries a fixed end date. No seat is held indefinitely.
- A Class B member may serve two consecutive terms, after which three years must pass before that person is again eligible for a Class B seat.
- Class A membership rolls forward automatically each year as editions complete.
- A Class A or Class B member who misses two consecutive annual meetings becomes an Emeritus member, unless the Committee waives this for good cause recorded in the minutes.
- Officers serve three-year terms and no officer may serve more than two consecutive terms in the same office.
- The roster below records each member's class and the year their term ends.
Officers
The Committee elects a Chair, a Vice-Chair, and a Secretary from among its voting members. The Chair convenes and presides over meetings, represents ICS to the sponsoring SIGs and to ACM, and is the point of contact for the conference. The Secretary keeps the roster and the minutes.
Meetings and decisions
The Committee meets at least once a year, at the conference. A quorum is a majority of seated voting members. Decisions are by majority of votes cast, except that amendment of the bylaws, removal of a member or officer, and any departure from the rotation criteria require two-thirds of the seated voting members. Business may be conducted by electronic ballot open for at least ten business days.
Conflict of interest
ICS applies the ACM SIGARCH definition of conflict of interest. A member who is a candidate for General Chair or Program Chair does not vote on their own candidacy, and a member holding a conflict with a candidate discloses it and abstains.
